Centralized, site-based management system with security and monitoring helps improve efficiency at manufacturing facilities around the globe

SCHAUMBURG, Ill. – April 23, 2014 – Motorola Solutions Inc. (NYSE: MSI) is helping global manufacturer, Isola Group, build efficiency by implementing a corporate-wide wireless local area network (WLAN). After an acquisition, Isola Group had a mix of wireless technologies, security issues along with connectivity and reliability problems across all of its facilities. Employees on the shop floor had trouble accessing their barcode readers and executives were frustrated by the time it took to log on at each location. Working with Motorola PartnerEmpower™ Platinum partner American Barcode and RFID Inc. (AB&R), Isola implemented a centralized, site-based management system with new sensors and access points (AP) powered by Motorola’s WiNG 5 WLAN solution. Motorola to become singularly focused on driving continued leadership in mission-critical communications for Government and Public Safety customers

Lincolnshire, Ill. and Schaumburg, Ill., April 15, 2014─Zebra Technologies Corporation (NASDAQ: ZBRA) and Motorola Solutions, Inc. (NYSE: MSI) today announced that they have entered into a definitive agreement in which Zebra will acquire Motorola’s Enterprise business for $3.45 billion in an all-cash transaction. The acquisition will be funded through a combination of cash on hand and new debt. The transaction, which was approved by the Boards of Directors of both companies, is subject to customary closing conditions including regulatory approvals. The transaction is expected to be completed by the end of 2014.

“This acquisition will transform Zebra into a leading provider of solutions that deliver greater intelligence and insights into our customers’ enterprises and extended value chains,” stated Anders Gustafsson, Zebra’s chief executive officer. “The Enterprise business will generate significant value for our shareholders by driving further product innovation and deeper engagement with our customers and partners. It positions Zebra as a leading technology innovator, with the accelerating convergence of mobility, data analytics and cloud computing.”

“Our Enterprise business is an ideal fit for Zebra,” stated Greg Brown, Motorola Solutions chairman and CEO. “This transaction will enable us to further sharpen our strategic focus on providing mission-critical solutions for our government and public safety customers. With 2013 pro-forma sales of approximately $2.5 billion (excluding sales of its iDEN products), Motorola’s Enterprise business is an industry leader in mobile computing and advanced data capture communications technologies and services. Through this transaction, Zebra will enter the segment where Motorola’s Enterprise business competes and strengthen its position in key industries including Retail, Transportation & Logistics, and Manufacturing and serve approximately 95 percent of the Fortune 500.

Zebra Technologies, with 2013 sales of $1.0 billion, is an industry leader in barcode and enterprise printing, asset tracking, Internet of Things (IoT) solutions, and motion and location sensing. The combination of these technology offerings and asset tracking solutions, together with Motorola’s Enterprise business, will create an industry leader in enterprise asset intelligence for the Connected Age.

The combined Zebra Technologies with Motorola’s Enterprise business would have had pro-forma sales in 2013 of approximately $3.5 billion. Approximately 4,500 employees are expected to join Zebra upon completing this transaction. Motorola Solutions will retain its iDEN product portfolio that was part of its Enterprise business and will continue its Government business, including its professional commercial radio product portfolio.

Transaction Details

Under the agreement, Zebra will acquire the Enterprise business from Motorola Solutions in an all-cash transaction valued at $3.45 billion, which Zebra management expects to be immediately accretive on a cash earnings basis. Zebra expects to fund the transaction with approximately $200 million of available cash on hand and $3.25 billion that is fully committed to be raised through a new credit facility and the issuance of debt securities. The transaction is not subject to a financing condition and is expected to be completed by the end of 2014.

Morgan Stanley is serving as financial adviser to Zebra and is providing a fully underwritten financing commitment for the debt component of the transaction. Kirkland & Ellis LLP is serving as legal advisor to Zebra.

Goldman, Sachs & Co., and J.P. Morgan Securities LLC are serving as financial advisers to Motorola in connection with this transaction. Winston & Strawn LLP is serving as legal adviser to Motorola. Wachtell, Lipton, Rosen & Katz is serving as legal adviser to the Motorola Board of Directors.

Motorola Solutions Reports Preliminary Fiscal 2014 First Quarter Results

SCHAUMBURG, Ill. – April 15, 2014 – Motorola Solutions, Inc. (NYSE: MSI) today announced preliminary financial results for its first quarter 2014. Sales results were below the company’s previous revenue outlook, primarily due to softer demand in the North America Government business along with lower than anticipated Enterprise sales. Non-GAAP earnings per share were within the range of the company’s previous earnings outlook. First quarter sales are expected to be approximately $1.8 billion, down approximately 9 percent from the first quarter of 2013. Full-year total company 2014 sales are now expected to decline low single digits while operating margins are expected to be comparable to previous guidance. This full-year sales outlook assumes Enterprise growth and a low- to mid-single digit decline for the combined Government and iDEN business. The company will provide full earnings results on its call, now scheduled for May 1.

GAAP operating earnings in the first quarter of 2014 are expected to be $170 million or 9.4 percent of sales. GAAP earnings per share are expected to be $0.49.

Non-GAAP* operating earnings in the first quarter are expected to be $212 million or 11.8 percent of sales. Non-GAAP earnings per share for the quarter are expected to be $0.50, within the company’s previous guidance.

TWO-WAY RADIOS ARE ..... COOL

SWAT Team Image Public Safety StoryWhen I tell people Motorola Solutions’ largest business is two-way radios, there is a two-way radio solution for every industry, and it’s a multibillion dollar market, I often get an odd look. That look is typically followed by the question, “Two-way radios? You mean like walkie-talkies?”

With all the buzz that surrounds cellular technology, two-way Land Mobile Radio (LMR) is often overlooked in today’s communication portfolio – but it is an ever-evolving technology that continues to provide reliable communications plus innovative new features that help organizations to stay connected, better manage their workforce, keep employees safe and increase productivity. Today’s device is not the same radio used in the 1960s. Today, a modern, standards-based radio is also data-enabled with an IP address that enables lots of cool, exciting functionality. Yes, I said cool!

In November, my home state, Illinois, and other states across the Midwest experienced a rare outburst of violent storms and tornadoes. As I was reviewing news coverage of the storms, it struck me that during an event like this, first responders need to reliably communicate using voice and data on a two-way radio, to coordinate response and save lives. They need a device that is designed specifically for the rugged world they operate in, and it needs to be easy to use – no phone numbers to look up and dial, no competing for spectrum capacity with consumers, just hit the push-to-talk button and talk. A two-way radio is a simple, reliable, purpose-built tool that is very good at its job – always-available communications.

For mission-critical communications, two-way radio – with its extended coverage range and extremely rugged equipment – does the job better than any other solution. For example, the STARCOM21 statewide Project 25 radio network covers the entire state of Illinois with approximately 270 radio tower sites, providing dedicated capacity to first responders across the state. It is much easier to keep 270 sites hardened, which means being always available, than the thousands of towers cellular technology requires.

And when the disaster strikes, like last November, those thousands of cell towers must also support hundreds of thousands of consumers, all competing for the same shared capacity. When a cell tower is knocked out by a storm, consumers have no way to communicate.

If a radio tower goes down the radio user can still communicate in direct mode,radio-to-radio communications, providing additional peace of mind the call will get through. In addition, powerful vehicle-mounted mobile radios in direct mode can work for 10’s of miles, covering large areas easily.

So next time you see a police officer, check to see if the officer has a radio. I am sure he will have one. Then ask him or her to share with you what the radio means to them in the moments that matter. I think you will find it interesting and cool, too!

Built-in 4G LTE technology simultaneously transmits and receives data without interrupting the LMR voice channel, enabling faster transfer of over-the-air data

SCHAUMBURG, Ill. – March 18, 2014 – Motorola Solutions, Inc. (NYSE: MSI) today introduced the latest offering in its series of APX™ Series Project 25 (P25) Two-Way Radios: the APX 7000L Multi-Band Portable Radio with LTE, which was specifically designed to meet the evolving technical and challenging deployment needs of U.S. federal law enforcement. The APX 7000L operates on both Long Term Evolution (4G LTE) mobile broadband and Land Mobile Radio (LMR) networks, delivering fast and efficient data operation combined with mission critical LMR voice connectivity across the nation.

Using 4G LTE, the APX 7000L transmits and receives data, such as Over-the-Air Programming (OTAP) and Over-the-Air Rekeying (OTAR), faster than with standard LMR technology. For instance, a 3 MB file can be sent in 12 seconds over a 4G LTE network, compared to several minutes on portable radios that do not use 4G LTE technology. In addition, confirmation is sent back to the operations center after the over-the-air data has been delivered and installed. And with the APX 7000L’s separate 4G LTE and LMR modes, agents can receive the data while simultaneously using the LMR voice channel.

    • Backward and forward compatibility for operation on existing and future systems.
    • Includes noise suppression technology and a rugged, easy-to-operate design that are featured in APX series radios for use in challenging environments.
    • Validated at Federal Information Processing Standards (FIPS) 140-2 Level 3, offering U.S. government agencies a high level of information assurance and encryption.
    • Motorola offers a full suite of services to support the APX 7000L throughout its lifecycle, including support services and training, to help customers plan, implement and run their operations more effectively.
