Collaboration to bring new level of voice clarity and support for voice-enabled public safety technology

Schaumburg, Illinois, USA and Yokneam, Israel — Jan. 7, 2015 — Motorola Solutions, Inc. (NYSE: MSI), a leading provider of mission-critical communication solutions and services for public safety and commercial customers, through its investment arm Motorola Solutions Venture Capital has invested in VocalZoom Ltd., a leading developer of sensors for speech enhancement. The terms of the transaction were not disclosed.

VocalZoom has developed a unique optoelectronic microphone able to substantially enhance a speaker’s voice over any background noise. The technology creates a “virtual cube” in space, sensing sound from only within the cube. This enables highly significant speech enhancement and precise speaker isolation, which are the key elements missing today to enable mass-usage of voice-driven applications for devices such as radios and smartphones.

Motorola Solutions’ investment in VocalZoom is part of its strategy to advance mission-critical communications by connecting public safety and commercial customers with real-time data and intelligence like never before. As part of its ongoing effort to push the boundaries of innovation, the company believes VocalZoom’s technology can establish a new frontier in voice commands and sharing of intelligence with public safety personnel through devices, even in a noisy environment or in the heat of the moment with a perpetrator. New public safety communications system enables faster, more informed responses to emergencies

SCHAUMBURG, Ill. – Dec. 10, 2014 – Motorola Solutions, Inc (NYSE: MSI) announced today that it has implemented a new public safety radio system in Cobb County, Georgia, that allows multiple public safety agencies to effectively communicate with each other to quickly resolve emergency situations. With the Motorola Solutions ASTRO® 25 Phase 2 time-division multiple access (TDMA) system, Cobb County has doubled its radio channels and expanded its reach beyond the county’s borders, so its law enforcement, fire and emergency medical teams can coordinate responses with first responders in other counties when needed.

KEY FACTS

  • One of the driving needs for first responders is the ability to communicate seamlessly with one another. Sharing critical information during day-to-day operations and responses to emergency situations can be challenging when the number of calls escalates.
  • By using radio spectrum more efficiently, Cobb County’s new system doubles the channels from 18 to 36, which allows more users to operate the system at one time. It also is interoperable with the Motorola Solutions’ systems used by first responders in three other neighboring counties.
  • While voice communications are essential, first responders increasingly use live video and other images in the field to analyze and share information. The new network enables use of this data as well as other mission-critical applications that help to improve efficiency, safety and decision-making for Cobb County first responders such as over-the-air programming, fire station alerting and weather siren alerts.
  • Cobb County 9-1-1 serves a population of approximately 750,000 people and covers more than 340 square miles. The 9-1-1 center manages more than 900,000 calls for service each year through 34 dispatch positions and provides dispatch services to four law enforcement agencies and two fire departments.
  • The Cobb County system is the first ASTRO 25 Phase 2 TDMA system, allowing several users to share the same frequency channel by dividing the signal into different time slots, in the State of Georgia. This updated system is considered a “regional core” system, meaning it serves an entire county as well as neighboring counties.
  • The ASTRO 25 Phase 2 TDMA system is part of Motorola Solutions’ portfolio of mission-critical communications that is transforming public safety operations and providing Cobb County first responders with a highly reliable communications network to respond to day-to-day operations as well as emergencies. The system can be easily upgraded to incorporate future technology.

Motorola Solutions Announces Redemption of All Remaining $3.449 Million Outstanding of Its 8.4 Percent Debentures Due Aug. 15, 2031

SCHAUMBURG, Ill. – Nov. 25, 2014 – Motorola Solutions, Inc. (NYSE: MSI) today announced that it has issued a notice to redeem all of the remaining $3,449,000 outstanding of its 8.4 percent debentures due Aug. 15, 2031 (CUSIP No. 620076AC3). In accordance with the terms of the indenture under which the debentures were issued, the debentures will be redeemed in full on Dec. 26, 2014, at a redemption price equal to 100 percent of the principal amount, plus accrued and unpaid interest (based on the annual rate of 8.4 percent) from the most recent interest payment date, Aug. 15, 2014 to, but not including, the redemption date.

A notice of redemption is being delivered by The Bank of New York Mellon Trust Company, N.A., as trustee for the debentures, to all registered holders. Copies of the notice of redemption and additional information relating to the procedure for redemption may be obtained from The Bank of New York Mellon Trust Company, N.A. by calling (800) 254-2826.

SHARE REPURCHASE AUTHORIZATION

Today, the company also announced that its board of directors has approved a $5 billion increase to the share repurchase program following receipt of $3.45 billion from the sale of its Enterprise business, raising the total authorization since July 2011 to $12 billion. Under the company’s previously authorized $7 billion share repurchase program, $600 million remained as of the end of the third quarter of 2014. The company may continue to repurchase shares from time to time in the open market or in other privately negotiated transactions, subject to market conditions.

OTHER SELECTED FINANCIAL RESULTS

 

  • Revenue – Sales declined 5 percent to $1.4 billion primarily reflecting lower sales in North America and Asia-Pacific. Product sales declined 8 percent driven primarily by lower devices revenues, while Services declined 1 percent.
  • Operating margin – GAAP operating margin was 14.4 percent of sales; non-GAAP operating margin was 18.0 percent. These results include $43 million in lower operating expenses compared with the third quarter of 2013 primarily due to ongoing cost-reduction initiatives.
  • Taxes – The 2014 GAAP effective tax rate was 56 percent driven by a one-time $55 million adjustment. This compares with a favorable tax rate of -4 percent in the third quarter of 2013. The 2014 non-GAAP tax rate was 33 percent, compared with a favorable tax rate of -3 percent in the third quarter of 2013. The GAAP and non-GAAP tax rates in the third quarter of 2013 were favorably impacted by benefits largely associated with excess foreign tax credits on undistributed foreign earnings in that quarter.
  • Cash flow – The company used $115 million in operating cash from continuing operations during the quarter largely driven by a $397 million contribution related to the U.S. pension plan transactions announced on Sept. 25, 2014.

 

KEY HIGHLIGHTS

 

  • Reduced funding volatility associated with U.S. pension plan while preserving benefits for retirees through actions that cut pension liability by one-half, or $4.2 billion; the company expects no U.S. pension plan cash contribution requirements for the next five to six years
  • Secured significant projects including a $33 million statewide public safety system expansion with the state of Maryland, and two command and control solutions that include multi-year lifecycle services: $16 million with Loudoun County, Virginia, and $8 million Spartanburg County, South Carolina
  • Extended leadership in two key growth areas, including:
    • Public safety long-term evolution (LTE): a $21 million services project for the Los Angeles Regional Interoperable Communications System Authority (LA-RICS) network, as well as a $10-15 million project resulting from an agreement that Harris County, Texas, reached with FirstNet to move forward with the expansion of its public safety LTE deployment
    • Smart public safety: project with the city of Elgin, Illinois, for a Real-Time Crime Center solution that enables access to existing video feeds, computer-aided dispatch records and other systems to drive proactive policing and improve situational awareness at the command center
  • Demonstrated commitment to U.S. national public safety broadband LTE network with introduction of enhanced VML750 LTE Vehicle Modem, which enables roaming between public and private networks for enhanced interoperability

 

BUSINESS OUTLOOK***

 

  • Fourth quarter 2014 – Motorola Solutions expects a revenue decline of 1 to 3 percent compared with the fourth quarter of 2013, with non-GAAP earnings per share from continuing operations in the range of $1.13 to $1.19 per share. This is consistent with the company’s prior full-year outlook of low- to mid-single digit revenue decline, excluding iDEN.
  • Cost reductions – The company is ahead of schedule with operating cost reductions, expecting to achieve more than $200 million in savings in 2014 and on track to achieve approximately $300 million by the end of 2015. This will result in a total reduction in operating expenses from $2 billion in 2013 to approximately $1.7 billion for 2015.

 

RESULTS FROM DISCONTINUED OPERATIONS

On Oct. 27, Motorola Solutions closed the sale of its Enterprise business to Zebra Technologies, and the Enterprise business is reflected as discontinued operations. Sales from discontinued operations were $605 million in the third quarter of 2014 compared with $595 million in the year-ago quarter. The sales increase reflects strength in both North America and Europe, while supply chain and IT execution issues that had an unfavorable impact on second-quarter 2014 sales were addressed during the quarter.

Grant to RESOLVE Supports Development and Capacity-Building in Conflict and Post-Conflict Areas

SCHAUMBURG, Ill. and WASHINGTON – Oct. 28, 2014 – The Motorola Solutions Foundation, the philanthropic arm of Motorola Solutions, Inc. (NYSE: MSI), today announced a grant to RESOLVE to help expand the Solutions for Hope platform in the Democratic Republic of the Congo (DRC), Colombia and other countries. Through Solutions for Hope, companies, civil society organizations and governments partner to build responsible minerals supply chains from regions where due diligence and market access are limited by both armed conflict and supply chains with limited transparency.

The Solutions for Hope model has proven effective in providing electronics companies with the first supplies of verified conflict-free tantalum used in their products. It aligns downstream companies’ needs for transparency and reporting compliance with regional stakeholders’ needs for development and capacity-building. Responsible sourcing of minerals from conflict regions can allow companies to support and contribute to peacebuilding, reducing armed conflict and violence while meeting their businesses’ supply chain needs.

Solutions for Hope was first piloted in the DRC by Motorola Solutions and AVX, which publicly committed to establishing a responsible “closed pipe” tantalum supply chain from mine to smelter to component manufacturer to original equipment manufacturer. In the DRC, the Solutions for Hope approach was designed to work within developing regional systems, such as the framework of the International Conference of the Great Lakes Region Regional Certification Mechanism, and utilized proven systems such as the Conflict-Free Smelter Program to support due diligence and a traceable, auditable supply chain.

The newly expanded Solutions for Hope platform will seek to pilot the Solutions for Hope approach with other minerals and regions. With support from the Canadian Department of Foreign Affairs, Trade and Development, RESOLVE initiated a program in Colombia to support transparency in that nation’s gold, tantalum and tungsten sectors in tandem with peacebuilding and economic development efforts.

Three programs recognized for anti-violence, relationship building and body-worn camera initiatives

(NYSE: MSI), in conjunction with the International Association of Chiefs of Police (IACP), announced today the recipients of the 22nd annual IACP/Motorola Solutions Webber Seavey Award for Quality in Law Enforcement. The top three programs, based in the United States and Canada are being recognized for initiatives that include an anti-violence volunteer police initiative, a student and police relationship-building campaign, and lastly, a first responder body-worn camera initiative.

  • Hamilton Police Service in Hamilton, Ontario, Canada, is being recognized for the “ACTION Strategy Initiative.” Studies showed an immediate need to restore safety and security in the city’s downtown core, which had become a hot spot for violent crime. The ACTION Strategy Initiative involved deploying uniformed volunteer auxiliary officers downtown for over 1,400 hours in a successful effort to help break the cycle of arrests.   • Milwaukee Police Department has been selected for its “Students Talking it Over with Police (STOP) Program,” that addresses the relationship between police and young leaders, ages 12 to 17, with the goal of fostering positive relationships and decreasing negative initial interactions between the two. Analysis indicates that STOP has been successful in improving general knowledge of first responders’ responsibility and proper behavior during a police stop, as well as fostering a better perception of the police for 94 percent of participants.
  • Rialto Police Department in Rialto, California, was honored for its “Body-Worn Camera Program,” which evaluated the impact of body-worn video cameras used by front-line officers on police use-of-force and officer complaints. Use-of-force incidents declined by 87.5 percent and officer complaints were reduced by 59 percent. Additionally, public contacts by officers increased by 3,200 showing that this scientific approach to dealing with police misconduct introduces a new concept of testing and evaluating new police officer initiatives.

  • PSX incorporates context management that keeps track of users across Project 25, LTE and other networks, maintaining user attributes such as identity, credentials, priority, presence, location, group membership and environmental context. These attri­butes are securely managed and shared with data applications used by the agency to improve awareness and collaboration across all users.
  • PSX applications deliver mission critical data in the form of push-to-talk voice, query responses, mapping, incident details, field reports and real-time video streaming. Broadband push-to-talk also is available for instant group communications. These applications help agencies deter crime and connect with citizens. By automating manual processes, they help reduce error rates and the time to process misdemeanors.
